PbNation sells for 3.2 Million Dollars

Last night we broke news that a rumor had been circulating that PbNation had indeed sold to CrowdGather. The total price, 3.2 Million USD. The break down is $1.4 million in cash, 1,149,425 shares of the Company’s restricted common shares, and certain additional cash and stock compensation totaling up to $800,000 if certain monthly website visitor traffic milestones are achieved.

We caught up with CrowdGather’s CEO Sanjay Sabnani who had this to say:

There are no immediate plans for change since we love the site as it is.  The three employees of PBNation are joining CrowdGather so there will be complete continuity for all the current members and volunteer staff.  No changes in rules.  Forums are like little countries- you cannot just show up and move things around, us forum geeks don’t like that very much.  What forum people do respect is if you become a contributing member of a community so that you can then propose ideas that are based upon knowledge and understanding.  Nice and slow is how we would like to roll, but we have high expectations for PbNation’s continued growth.

Adds 20 million monthly pageviews to CrowdGather network traffic

Company will now have 155 million monthly pageviews and 15 million monthly uniques Woodland Hills, CA. May 25, 2011 — One of the leading networks of forum communities on the Internet, CrowdGather (OTCBB:CRWG), announced today that it has acquired the domain name, website, and assets related to PbNation.com one of the world’s largest online paintball communities according to Forbes and the Chicago Tribune. The total purchase consideration for the PbNation.com site and assets is up to $3.2 million, consisting of $1.4 million in cash, 1,149,425 shares of the Company’s restricted common shares, and certain additional cash and stock compensation totaling up to $800,000 if certain monthly website visitor traffic milestones are achieved. The number of shares issued was calculated by dividing $1 million by the Company’s 10 day volume weighted average share price of $0.87 per share through Friday, May 20, 2011.

PbNation generates 20 million monthly pageviews and approximately 1.9 million monthly unique visitors. On a combined basis, the CrowdGather forum network will generate 155 million monthly pageviews and 15 million monthly unique visitors. “Adding PbNation to our portfolio is a watershed event for CrowdGather team,” said Sanjay Sabnani, CrowdGather’s Chairman and CEO. “We believe that at 20 million monthly pageviews, PbNation is a cornerstone of the paintball enthusiast ecosystem and one of the largest independent forum communities in the world.       I knew there was something i didn’t like about this deal, with a large payout being in stocks. funny how when people say don’t change anything his answer is never direct, its always interms like “there will be no changes in the near future” and most idiots stop thinking cause they just read the answer they were looking for and not the entire answer. when the changes come and the regular visitors stop bringing those daily hits to the site. those stocks won’t even be penny stocks, thats if the company is even around since its been under water for that last couple of years. those milestones will not be reach LOL
